General Terms and Conditions
These terms govern the use of CompanyDesk, operated by AIXI Digital GmbH, Stoß im Himmel 1, 1010 Wien, Österreich.
1. Scope and subject matter
The subject matter is the provision of an application for research in publicly accessible company and trade registers. The operator does not keep its own register and makes no entries; it only processes data made publicly accessible by the registering authorities. Deviating terms of the user do not become part of the contract unless their validity is agreed to in writing.
2. Target group
The application is open to businesses, members of the legal and business advisory professions, authorities and courts, and private individuals. For consumers within the meaning of section 1 of the Austrian Consumer Protection Act, the mandatory provisions of consumer protection law and of the Distance and Off-Premises Contracts Act apply; in particular, they have the statutory right of withdrawal when creating an account, which is pointed out during registration.
3. Conclusion of the contract
Use without an account is free of charge and does not require a separate contract; by using the service, these terms are accepted. The contract for maintaining an account is concluded upon confirmation of registration. There is no entitlement to an account; the operator is entitled to refuse registration without giving reasons.
4. Scope of services and quotas
Without a user account, up to 5 searches per calendar day are currently available; with a confirmed account, up to 10 per day and 150 per calendar month. Daily and monthly limits apply simultaneously. A search counts even if there are no results or a source does not respond. A multi-country search across several registers counts as one search but uses the limits of all sources queried. Repetitions of the same search term in the same country, filters and further result pages are not counted again within the same ten-minute period and are served from the dataset. New search terms or countries count anew. The first opening of a company profile counts separately; repeated openings of the same profile in the same period do not count again. Original documents and expressly started analyses may use further retrievals. Printing an opened profile uses no additional quota.
The operator is entitled to extend or restrict the scope of services or to stop connecting individual registers if the registering authority ends access, changes the conditions or the connection is no longer reasonable for legal or economic reasons. Which registers are set up at any given time is shown in the overview of data sources.
Free access and quotas are offered within the limits of available capacity. To protect resources, they may be adjusted, reduced or temporarily paused for future queries for objective reasons, in particular in the event of high load, security risks, abuse or changed register requirements. In the event of acute disruptions or threats, this may take effect immediately. Changes will be announced on the website and, where necessary, to account holders. Claims already arisen and mandatory statutory rights remain unaffected. The operator expressly reserves the right to change the quotas and to introduce paid services, such as extended quotas or additional features. Paid services are provided only on the basis of a separate, express agreement.
4a. CompanyDesk Pro
CompanyDesk Pro is a paid plan for a single user. It comprises queries without daily or monthly quota within ordinary use (fair use), the financial analysis in the countries for which it is offered and there only for accounts filed in structured form, a watchlist of up to 20 companies with change notifications, printouts with your own logo and firm name, the retrieval record and a display without ads. All services are available only subject to the technical availability of the connections to the respective registers. No liability is assumed for the completeness, accuracy or timeliness of watchlist notifications. The register data themselves remain freely accessible without CompanyDesk Pro.
The licence is tied to the individual user and must not be shared with others. An account can be signed in on no more than two devices at the same time; an additional sign-in ends the oldest session. The “Stay signed in” setting remains effective for no more than 14 days.
CompanyDesk Pro is offered for a single user with two terms: monthly at €5.90 or annually at €59.00, each including VAT. For law firms and companies there is a firm licence for ten people at €49.00 per month or €490.00 per year, including VAT; the purchaser manages the seats. Access is tied to the account of the respective user and must not be passed on to third parties or used by several people. The subscription renews for the chosen term unless ended before it expires; it can be ended at any time with effect from the end of the current period via the Paddle customer portal.
Seller and invoicing party is Paddle.com Market Limited as merchant of record; its terms of sale additionally apply to the payment process. Activation takes place immediately after confirmation of payment. Withdrawal and refunds are governed by the Refund and cancellation page. Price changes apply only to future terms; they are announced in text form at least four weeks before taking effect, and the user may end the subscription until then.
4b. Personal data in register records
Information about natural persons, in particular names, functions and dates of birth of officers, may be used solely for the purpose of register enquiries concerning the entity in question, for example to establish powers of representation or to draw up contracts and pleadings. Any other further processing is prohibited, in particular collecting, combining or analysing personal information, building directories of persons, and using it for advertising or contact purposes. To protect individuals, CompanyDesk does not offer a search for persons and does not include residential addresses.
5. Availability
The operator endeavours to provide the service with as few interruptions as possible but owes no particular availability. Maintenance, disruptions of the data connection and outages or limits of the connected registers are outside the operator's control and give no right to compensation.
6. No warranty, no official effect
The information shown reflects the status of the source queried at the time stated and has been processed compared with it. No guarantee is given for accuracy, completeness and currency, as the operator has no influence on the data quality of the registering authorities. Complete coverage of all European registers is not promised.
The information has no official effect. In particular, it does not replace the certified company register extract, the commercial register extract or any other official certificate. Outputs in file form are marked as a separate research summary and are not official extracts. For purposes requiring proof of powers of representation or disposal, the user must obtain the official extract.
7. Obligations of the user
The user keeps the access credentials secret and does not pass them on to third parties. Prohibited are the automated extraction of content, the systematic reproduction of substantial parts of the database, the circumvention of technical protection measures, the creation of several accounts to circumvent the quotas and any use that impairs functionality.
Use of the data for direct marketing, for credit assessment of third parties, for building competing datasets or for passing on essentially unchanged raw data to unaffiliated companies is not permitted. These restrictions are partly based directly on the conditions of the registering authorities and therefore also apply when the user reuses the data.
With any reuse, the attributions and licence notices shown in the overview of data sources and with the individual results must be retained. When reusing personal register data, the user is a controller within the meaning of Art 4(7) GDPR and must comply with data protection law on their own responsibility.
8. Rights to content
The structure, processing, trademarks and design of the application are the property of the operator and are protected as a database work under sections 40f et seq. of the Austrian Copyright Act. The user is granted a simple, non-transferable and revocable right of use within the scope of their own professional activity. The use of individual items of information in pleadings, opinions and correspondence is expressly permitted.
9. Advertising
Free use is financed by advertisements. These are marked as advertisements, separated from the search results and not selected on the basis of the search term or user behaviour. The ranking of search results is not influenced by payment.
10. Liability
The operator passes on the data as received from the registering authorities and does not review their content. The operator gives no warranty and accepts no liability for the data shown, in particular not for accuracy, completeness, currency or usability, not for errors, delays or outages of the sources and not for decisions based on information without obtaining the official extract. Claims for compensation for financial loss, loss of profit, indirect damage, consequential damage and loss of data are excluded. These exclusions apply to the fullest extent permitted by law; only liability for damage caused intentionally or by gross negligence and for personal injury, insofar as mandatory law does not permit exclusion, and the mandatory rights of consumers remain unaffected.
11. Term and termination
The user relationship is concluded for an indefinite period. The user may terminate it at any time without notice by deleting the account. The operator may terminate with four weeks' notice. The right to terminate for good cause, in particular in the event of a material breach of the obligations under section 7, remains unaffected; in this case access may be blocked with immediate effect.
12. Amendment of these terms
The operator is entitled to amend these terms insofar as this is necessary for legal or technical reasons and the user is not unreasonably disadvantaged. Account holders will be notified of the amendment in text form at least four weeks before it takes effect. If the user does not object within this period, the amendment is deemed accepted; this effect will be specifically pointed out in the notification.
13. Final provisions
Austrian law applies, excluding the conflict-of-law rules of private international law and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from this contractual relationship is the court having subject-matter jurisdiction for Vienna Inner City, unless mandatory statutory jurisdiction applies. Should any provision be or become invalid, the validity of the remaining provisions remains unaffected; the invalid provision is replaced by a provision that comes closest to its economic purpose.
