Selected company data from the Austrian company register and trade register

Selected Austrian company register data from the high-value datasets of the Federal Ministry of Justice. Not a company register search and not a company register extract.

The Austrian company register records corporations and partnerships, cooperatives, private foundations and registered sole traders with their essential legal relationships. It is kept by the company register courts. The Federal Ministry of Justice provides selected company register data as high-value datasets for reuse; these do not cover all entries of the company register.

The Austrian company register

The company register (Firmenbuch) is the public directory of Austrian businesses. In 1991 it replaced the paper-based commercial register and has since been kept as an electronic database; since 2005 this also applies to the collection of documents. The central provisions are contained in the Company Register Act (FBG) and the Commercial Code (UGB).

The company register is kept by the company register courts, the regional courts responsible for commercial matters; in Vienna, the Commercial Court of Vienna is responsible. It consists of the main register with the entries, such as company registration number, company name, legal form, registered office, business address and persons authorised to represent, and the collection of documents with the underlying documents such as articles of association and annual accounts.

Who is registered

Required to register are in particular corporations (GmbH, AG, SE), registered partnerships (OG, KG) and cooperatives with their seat in Austria, as well as foreign entities with a branch in Austria. Civil law partnerships are not registered because they have no legal personality of their own. Sole traders may register voluntarily; registration becomes mandatory only above certain turnover thresholds.

Inspection and official company register extract

Anyone may inspect the company register, both the main register and the collection of documents. A summary with the key information is free of charge; company register extracts and documents are subject to charges. They are available through JustizOnline, the portal of the Austrian judiciary, through the clearing houses appointed by the Federal Ministry of Justice, and from courts, notaries, lawyers and chartered accountants.

Under section 15 of the Austrian Commercial Code (UGB), third parties may rely on registered facts. This effect attaches only to the company register itself, not to the presentation on CompanyDesk.
