The Swiss commercial register

The commercial register serves to constitute and identify legal entities. The legal bases are the Code of Obligations and the Commercial Register Ordinance (HRegV). It is kept on a decentralised basis: each canton keeps its own commercial register through the cantonal commercial register office.

The Federal Commercial Registry Office (EHRA) within the Federal Office of Justice exercises supervision and operates a central register of all entities registered in the cantons. Its public data are available free of charge for individual queries through the central business name index Zefix.

Who is registered

Registered are in particular companies limited by shares, partnerships limited by shares, limited liability companies, cooperatives, general and limited partnerships, associations and foundations where registration is required, and branches. Sole proprietorships are only required to register above a certain annual turnover.

Inspection and official extract

The commercial register is public; anyone may inspect it without demonstrating an interest. The data held in Zefix are without guarantee and have no legal effect. The entries of the cantonal commercial register offices are authoritative; certified extracts are also available there.
